    User(s): Refers to any individual or entity accessing or using our Website or our services.

    6. Pricing & Payments

     

    By purchasing our services, you agree to pay all associated set-up and subscription fees.

     

    We reserve the right to establish the price for every service we offer. We may change the price of any service at any time, in our sole discretion. We reserve the right to charge a price for a service, or a portion thereof, that was fully or partially previously offered for free. 

     

    If we decide to increase the price of our services to which you are subscribed, we will make every effort to communicate this pricing change to you via email. We do not need to notify you if we decide to raise the price of a service to which you are not subscribed.

     

    For monthly or annually recurring services, you are welcome to cancel and give a 15 business days notice at any time without obligation to pay for additional monthly payments.

     

    All set-up fees in connection with our services, including website auditing services are non-refundable.

     

    If and when participating in a free trial of a service, you shall have the right to use our service for the duration of the free trial without charge until the expiration date of the trial at which point services shall be discontinued if you do not elect to purchase monthly or annual recurring services.

     

    We reserve all rights to change or terminate the Website or the services at any time and for any reason. All users will be given notice within a commercially reasonable time before the termination of the Website or the services.

     

    6.1 Taxes

    6.2 Refunds

     

    We offer 15 business days money back guarantee unless otherwise agreed in a prior or different agreement.

     

    Company Partner Setup & Initiation Fee is fully refundable within 30 business days after the payment is made.

     

    Company Partner Disclosure Fee is not refundable, and we offer no representations or warranties of the outcome of the partnership disclosure, or make any promises of a successful partner business relationship.

     

    6.2.1 Billing & Payment Authority

     

    All fees are payable in advance on a per use, monthly or annual basis unless otherwise agreed in writing. By entering into any agreements, or by purchasing any services the Partner and the Client authorizes the Company to collect all recurring and on demand fees using the online payments processing provider. 

     

    The Partner or Client agrees that payment details may be securely stored and used for automatic recurring charges in accordance with this authority.

     

    If a payment fails for any reason, we will automatically initiate up to 3 (three) payment retry attempts over a period of 10 business days using the authorized payment method on file.

     

    Following each failed payment attempt, we will issue an automated notification via email detailing the failure and requesting that the Partner or Client take corrective action. 

     

    It is the responsibility of the Partner or Client to ensure that billing information remains accurate and up to date at all times.

     

    6.2.2 Suspensions

     

    If payment has not been successfully collected after the last attempt, and no satisfactory communication or resolution has been agreed, we reserve the right to suspend all services associated with the account. Suspension may include, but is not limited to, access to systems, software, the Website, marketing services, reporting, fulfilment activity, and support.

     

    Service suspension does not constitute termination of any agreements. All outstanding fees remain payable in full.

     

    Where services have been suspended due to non payment, services will only be reinstated after all outstanding fees, and a reactivation fee of 100 USD, plus all applicable sales tax, have been paid.

     

    The reactivation fee will be converted into the Partner or Client’s billing currency at the prevailing exchange rate at the time of invoicing.

     

    We are under no obligation to prioritize reinstatement and reactivation may be subject to reasonable setup and processing time.

     

    6.2.3 Ongoing Liability

     

    Suspension of services does not relieve the Partner or Client of their obligation to pay any outstanding amounts due under any agreement. We reserve the right to pursue recovery of unpaid fees in accordance with applicable law.

     

    We reserve the right, at our sole discretion, to: accelerate suspension where there is repeated payment failure or abuse of the billing process; extend payment deadlines; waive retry attempts or reactivation fees.

     

    Any such discretion does not waive our right to enforce this clause in future instances.


    7. Intellectual Property Rights

     

    All content, logos, trademarks, marketing methods, and proprietary software available on this Website are the exclusive property of the Company.

     

    You acknowledge that the Website and our services, including without limitation the software, the trademarks, service marks and logos contained on the Website, are protected by copyrights, trademarks, service marks, patents or other proprietary rights, both with respect to individual content and as a collective work or compilation, pursuant to laws and international conventions.

    Local Managing Partners, and assigned to them company partners and associates, are granted a revocable, non-exclusive license to use company materials solely as defined in their respective Company Partner Agreements.

    8. User Portals and Security

     

    Certain areas of the Website, such as the Client Account or Partner and Associate Accounts, are restricted to authorized users.

    You are responsible for maintaining the confidentiality of your Client, Partner, Associate account credentials.

     

    8.2 Unauthorized Access 

     

    Any attempt to bypass security protocols or access data belonging to other local partners is a material breach of these Terms and may result in immediate termination of your contract.

     

    9. Disclaimers & Limitation of Liability

     

    Wordwell Marketing Inc, also known as Wordwell, is a company that operates a network of partners all across the globe. Within the Company, no partner has a special legal status, or any of these Terms grant any of our partners authority over these Terms, or legally bind the Company, unless specific authority is assigned to them, and is stipulated in the Company Partner Agreement. 

     

    Without limiting the above:

     

    1. We make no warranty that the Website, our services or the content will meet your requirements, or will be uninterrupted, continuous, timely, secure, accurate, correct, complete or available.

    2. We do not endorse or approve any content provided by any party other than us and disclaim all liability whatsoever.

    3. We do not warrant or make any representations regarding the use or the results of this Website, our services or the content in terms of its correctness, completeness, results, availability, accuracy, reliability or otherwise.

The Partners agree to retain provided information as confidential, and not to use provided information on their own behalf or disclose it to any third party. 

     

    The Partners also agree to take reasonable security measures to prevent accidental disclosure.

     

    The Partners shall not own, manage, operate, consult or be employed in a business substantially similar to, or competitive with the current Company business, or similar business activity in which the Company may engage during the term of their Partnership.

     

    This non-compete agreement shall be effective during the period of the Partner's Contractual Agreement and for 5 (five) years following its termination, notwithstanding the cause or reason for termination.

     

    On termination of the Partner's Contractual Agreement, all their Website credentials, and information pertaining to Our business, will be transferred to the ownership of the Company along with all associated contracts and contacts.

     

    These Terms shall be binding upon the parties, their successors, assigns, and personal representatives.
